1. About Zephy

Zephy is a platform focused on environmental learning, engagement, and participation. The platform may offer learning journeys, educational content, Green Points, restoration project discovery, contribution-led engagement, impact tracking, and related tools or experiences.

Zephy may include content and features relating to biodiversity, oceans, energy, green innovation, science, soil, changemakers, and other environmental themes. It may also feature restoration initiatives such as tree planting, mangrove restoration, habitat restoration, and city-led environmental efforts.

2. Eligibility

You may use Zephy only if you are 18 years of age or older and legally capable of entering into a binding agreement under applicable law.

By accessing or using Zephy, you represent and warrant that:

• you are at least 18 years old
• the information you provide is accurate and complete
• your use of the platform does not violate any applicable law or regulation

We may suspend or terminate your access if we believe you do not meet these eligibility requirements.

3. Your Account

To access certain features of the platform, you may be required to create an account. You agree to:

• provide true, accurate, current, and complete information
• keep your login credentials secure and confidential
• accept responsibility for all activity that occurs under your account
• notify us promptly if you suspect unauthorized use of your account

We reserve the right to suspend, restrict, or terminate accounts that contain false information, impersonate another person, or are used in breach of these Terms.

4. Permitted Use

Subject to these Terms, Zephy grants you a limited, revocable, non-exclusive, non-transferable right to access and use the platform for lawful personal or internal organizational use, unless otherwise expressly permitted by us in writing.

You may use Zephy to:

• access environmental learning content
• participate in streak-based learning journeys
• earn and track Green Points
• discover restoration projects
• support or contribute to eligible projects where such functionality is available
• view, build, and share your Impact Map or Green Tracker where enabled

You may not use Zephy for any unlawful, harmful, fraudulent, misleading, or unauthorized purpose.

5. Green Points, Streaks, and Impact Features

Zephy may include engagement features such as Green Points, streaks, badges, trackers, rankings, progress indicators, or impact maps. Unless expressly stated otherwise:

• Green Points are promotional or engagement-based platform units only
• Green Points are not money, stored value, or financial instruments
• Green Points have no cash value
• Green Points are non-transferable
• Green Points may only be used or redeemed in the manner specified on the platform
• we may change, limit, reset, suspend, or discontinue Green Points or related features at any time

Impact maps, trackers, and related visualizations are intended to reflect activity on the platform and are offered for informational and engagement purposes. They should not be treated as official environmental certifications, verified impact statements, or legal proof of environmental outcomes unless expressly stated.

6. Restoration Projects and Contributions

Zephy may showcase restoration projects or environmental initiatives managed by third-party partners, implementation organizations, institutions, or service providers. Where Zephy enables project support, contributions, or redemptions, you acknowledge that:

• project information may be based partly or wholly on information provided by third parties
• project timelines, visuals, descriptions, and updates may change over time
• Zephy does not guarantee survival rates, ecological results, long-term maintenance, or measurable environmental outcomes unless explicitly stated in writing
• contributions may be routed through partners, intermediaries, or service providers depending on how the platform is structured

We aim to present project information responsibly, but we do not warrant that all listings, descriptions, photos, numbers, or timelines will always be complete, current, or error-free.

7. Educational Purpose Only

Zephy is an educational and engagement platform. The content made available on the platform is for general informational and educational use only. Nothing on Zephy constitutes:

• legal advice
• financial or investment advice
• scientific or technical certification
• carbon accounting assurance
• carbon credit issuance
• environmental audit services
• guaranteed climate or ecological outcomes

You are responsible for exercising your own judgment and seeking professional advice where appropriate.

8. Responsible Use and Prohibited Conduct

You agree not to:

• use the platform in violation of any law or regulation
• impersonate any individual or entity
• submit false, misleading, or deceptive information
• interfere with or disrupt the security, operation, or integrity of the platform
• attempt to gain unauthorized access to any account, server, or system
• scrape, copy, harvest, or extract platform data without authorization
• upload malware, viruses, or malicious code
• use the platform to harass, abuse, defame, threaten, or harm others
• exploit the platform for spam, scams, or unauthorized commercial activity
• misuse Green Points, contribution features, project listings, or impact displays

We may investigate suspected misuse and take any action we deem appropriate, including suspension or termination of access.

9. User Content

If you upload, submit, post, share, or otherwise make content available on Zephy, including text, comments, feedback, images, profile details, testimonials, or other materials ("User Content"), you represent and warrant that:

• you own or control the rights necessary to submit that content
• the content does not infringe any third-party rights
• the content is not unlawful, defamatory, obscene, abusive, or misleading

You retain ownership of your User Content. However, by submitting or making it available on Zephy, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, reproduce, modify, adapt, publish, display, and distribute that content for the purpose of operating, improving, promoting, and administering the platform.

We reserve the right to remove, edit, restrict, or refuse any User Content at our discretion.

10. Intellectual Property

All rights, title, and interest in and to Zephy, including its platform design, software, code, educational materials, text, graphics, logos, visual elements, databases, compilations, content structure, trademarks, and branding, are owned by or licensed to us.

Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, republish, modify, reverse engineer, create derivative works from, or commercially exploit any part of the platform without our prior written permission.

11. AI and Automated Features

Zephy may use AI-enabled or automated tools for search, recommendations, summaries, content assistance, or other platform functions. You acknowledge that:

• automated outputs may be incomplete, inaccurate, or approximate
• such outputs are provided for convenience and engagement
• you should not rely solely on automated outputs for decisions requiring legal, financial, scientific, technical, or professional certainty

We may change, limit, improve, or discontinue AI-enabled features at any time without notice.

12. Third-Party Services

Zephy may integrate with or link to third-party services, including payment processors, restoration partners, analytics providers, communication tools, hosting providers, AI tools, or other external services. We are not responsible for:

• the availability or performance of third-party services
• third-party content or policies
• third-party acts, omissions, errors, or data practices

Your use of third-party services may be subject to separate terms and privacy policies.

13. Payments, Purchases, and Refunds

If Zephy offers paid features, subscriptions, memberships, project contributions, or other paid services, the applicable pricing, billing terms, taxes, payment methods, and refund rules will be displayed at the relevant point of purchase or transaction. Unless expressly stated otherwise:

• all fees are payable in the manner specified on the platform
• all payments once processed may be final and non-refundable
• you are responsible for applicable taxes, charges, or duties
• payment processing may be handled by third-party providers

You agree not to initiate fraudulent chargebacks or payment disputes without valid grounds.

14. Privacy

Your use of Zephy is also governed by our Privacy Policy, which forms an integral part of your use of the platform. By using Zephy, you consent to the collection, use, storage, and processing of your information in accordance with our Privacy Policy. You should ensure that the Privacy Policy is read together with these Terms.

15. Availability, Modification, and Updates

We may modify, update, suspend, restrict, or discontinue any part of the platform at any time, including features, learning content, project listings, point systems, impact maps, rewards or redemption logic, pricing, visual design, integrations, and supported regions or services. We do not guarantee uninterrupted, secure, or error-free access to the platform.

16. Disclaimer of Warranties

Zephy is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties relating to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, uninterrupted availability, security, and suitability of content or features.

We do not guarantee that:

• the platform will always be available or error-free
• content will always be accurate, current, or complete
• restoration projects will achieve any specific result
• Green Points or impact features will remain available or unchanged
• platform outputs, including AI outputs, will be accurate or suitable for your needs

17. Limitation of Liability

To the fullest extent permitted by applicable law, Zephy and its founders, directors, employees, team members, affiliates, partners, licensors, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, opportunity, or reputation arising out of or related to your access to or use of the platform, any reliance placed on platform content, third-party partners or services, account breaches, bugs, outages, or changes to features and points systems.

If liability cannot be excluded, our total aggregate liability to you for any claim arising out of or relating to the platform or these Terms shall not exceed the total amount paid by you to Zephy, if any, during the twelve months preceding the event giving rise to the claim.

18. Indemnity

You agree to indemnify, defend, and hold harmless Zephy and its affiliates, officers, directors, employees, contractors, partners, and licensors from and against any claims, actions, liabilities, losses, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use or misuse of the platform
• your breach of these Terms
• your User Content
• your violation of any law, regulation, or third-party right
• your fraudulent, misleading, or harmful conduct

19. Suspension and Termination

We may suspend, restrict, or terminate your access to Zephy at any time, with or without notice, if you breach these Terms, your use creates legal, security, operational, or reputational risk, we are required to do so by law, or we discontinue the platform or any relevant part of it.

Upon termination, your right to use the platform will cease immediately. Any provisions that by their nature should survive termination will continue to remain in effect.

20. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of Zephy shall be subject to the exclusive jurisdiction of the courts located in New Delhi.

21. Changes to These Terms

We may revise these Terms and Conditions from time to time. Updated versions will be posted on this page with a revised "Last Updated" date. Your continued use of Zephy after any such update constitutes your acceptance of the revised Terms.
